Common questions
Is a company secretary required for sole proprietorships or LLPs?
No. The requirement applies only to private limited companies (Sdn Bhd) and public companies under the Companies Act 2016. Sole proprietorships and LLPs are governed separately under the Registration of Businesses Act 1956 and LLP Act 2012, which do not mandate a cosec.
What happens if I don't appoint a company secretary?
Under Section 235 of the Companies Act 2016, a company that fails to appoint a qualified secretary within 30 days of incorporation, or that operates without one, can be fined up to RM 50,000. Directors can also be personally held liable.
Can I use a freelance company secretary?
Yes, provided they hold a valid licence from SSM or are a member of a recognised body (MIA or MAICSA). Always verify the licence number before appointing. We only refer you to vetted, licensed professionals.
How often does the cosec need to do work for my company?
At minimum, once a year for the Annual Return filing. For active companies, you'll need board resolutions each time a significant decision is made β new bank signatories, property, contracts, dividend payments. The cosec manages the timing and preparation of all of these.
Can I change my company secretary if I'm unhappy with the current one?
Yes. A cosec can resign or be replaced at any time by board resolution. The outgoing secretary is required to hand over statutory books, registers, and company seal. We can facilitate a smooth transition if you need to switch.
